Terms of Use

1. Who we are and what these Terms cover

Terius (the “Software,” “App,” or “Wallet”) is a non-custodial cryptocurrency wallet. It is developed and operated by Terius LLC, a limited liability company registered in Georgia (country), identification number 406490177, registered address 5 Police Lane I, Floor 2, N4a, Samgori district, Tbilisi, Georgia (“Terius,” “we,” “us,” or “our”).

These Terms of Use (“Terms”) govern the terius.com website (the “Site”), the Wallet, and the related software and services (together, the “Services”). By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Non-custodial nature; no access to funds or keys

The Wallet is non-custodial software. Your private keys, seed phrase, and wallet password are created and stored on your device. They are never sent to us, and we never hold them.

We cannot see your keys or your assets. We cannot reset them, freeze them, or cancel a transaction you have already signed. You are the only person in control of your assets.

3. Your sole responsibility

You alone are responsible for:

• keeping your device, seed phrase, private keys, and password safe;
• making backups and storing them safely;
• checking the recipient address, the amount, the network, and the transaction before you sign and send it;
• everything done through your Wallet.

IF YOU LOSE YOUR SEED PHRASE OR PRIVATE KEYS, OR IF THEY ARE COMPROMISED, YOUR ASSETS CANNOT BE RECOVERED BY ANYONE, INCLUDING US. THERE IS NO PASSWORD RESET AND NO RECOVERY MECHANISM.

4. No fiduciary, advisory, or professional relationship

We provide software. We are not your broker, dealer, exchange, bank, custodian, money transmitter, trustee, agent, or fiduciary.

These Terms and the Services do not create a fiduciary duty, an agency, a partnership, or an advisory relationship. We do not give investment, financial, tax, legal, or accounting advice. Nothing in the Services is a recommendation to buy, sell, or hold a digital asset. You make your own decisions, and you are responsible for any tax you owe.

Prices and charts in the App come from an independent provider named in the Appendix. They may be delayed or wrong. They are not our quote, and they are not advice.

5. Nature of the company

Terius develops and operates software. We are not an exchange, a broker-dealer, a trading venue, a money-services business, a money transmitter, or a financial institution. No financial-services authority supervises, licenses, or endorses the Services.

Published guidance, including U.S. FinCEN guidance FIN-2019-G001, treats a provider of unhosted wallet software that never takes control of a user’s value as not a money transmitter. That is the position of this product.

6. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally permitted to use the Services. By using the Services you represent that you meet these requirements and that your use complies with all laws applicable to you.

7. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software for your own personal or internal business purposes.

Unless we expressly allow it, you may not:

• copy the Software;
• modify it or make derivative works from it;
• reverse engineer it, except where the law forbids that limit;
• resell it.

Open-source components keep their own licenses. If one of those licenses conflicts with these Terms, the component’s license controls.

8. Prohibited uses

You agree not to use the Services to:

• break a law, a regulation, or a sanctions rule;
• launder money, finance terrorism, or move the proceeds of crime;
• infringe someone else’s intellectual property or other rights;
• send malware, or interfere with, disrupt, or break into the Services or someone else’s systems;
• bypass a security control or a geographic restriction;
• commit fraud, manipulate a market, or do anything else unlawful or harmful.

9. Disclaimer of warranties

The Services are provided as they are, and only when they are available. We do not promise that they will run without interruption, securely, or without errors.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT ANY THIRD-PARTY CONTENT, SERVICE, BLOCKCHAIN, OR SMART CONTRACT. YOU ASSUME ALL RISK OF USE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY. THIS INCLUDES LOSS FROM:

• a lost or compromised seed phrase or private key;
• a mistake in the address, the amount, or the network;
• phishing, malware, or a compromised device;
• a failure, delay, exploit, or fork of a blockchain or a smart contract;
• a change in market price;
• a third-party service, including an exchange, a protocol, or a fiat provider.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS (US$500).

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Terius and its affiliates and their respective personnel from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your breach of these Terms, your violation of any law or third-party right, or your tax obligations.

12. Third-party providers

Some features of the App are performed by independent providers. Their names are in Appendix A. Their own terms and privacy policy apply. Terius is not a party to the transaction, does not set the rate, does not hold the assets, and does not decide whether a provider accepts, delays, or refuses a transaction, or whether it asks you to verify your identity. Terius cannot reverse a transaction that has already been sent.

13. Fiat providers

Where available, buying or selling cryptocurrency for fiat is provided by the fiat providers listed in Appendix A. The current fiat provider is Guardarian. Each fiat provider’s own terms apply, including that provider’s own list of jurisdictions. Terius does not request, receive, or store your identity documents, and does not decide the outcome of a provider’s checks.

Guardarian’s terms are set out in Appendix B. They do not restrict the Wallet or cryptocurrency exchange. Any further fiat provider will be subject to its own terms. Terius LLC is registered in Georgia, and the Wallet remains available there.

14. Donations

We may accept voluntary donations via cryptocurrency or fiat payment methods. Donations are voluntary, non-refundable, and are not payments for goods or services; they do not create any contractual entitlement, ownership interest, or other rights. Fiat donations, if available, are processed by a third-party payment provider under its own terms and privacy policy.

15. Paid address screening (AML checks)

Some features, including a check of a blockchain address, may be offered for a fee. The price is shown before you pay. You can pay in cryptocurrency. A fiat payment, if it is offered, is handled by an independent payment provider under its own terms and privacy policy. We will name that provider here when it is in use.

The check is performed by an independent provider, GetBlock (365cash OÜ, registry code 14397478, Estonia; getblock.net). The result is information only. It reflects that provider’s data and method at the time of the check. It is not guaranteed to be accurate, complete, or current, and it is not legal, financial, or compliance advice. We are not responsible for a decision you make, or for an action another party takes, based on that result. GetBlock’s own terms apply to the check.

A fee for a completed check is not refunded. Once the check has run and the result has been delivered, the service is complete. If a check fails for a technical reason, we will run it again or credit you, at our discretion.

16. Sanctions and export compliance

You represent that you are not located in, ordinarily resident in, or a national of a jurisdiction under comprehensive government sanctions or an embargo, and that you are not on a government list of sanctioned, prohibited, or restricted parties.

You agree to comply with applicable sanctions and export-control laws, and not to use the Services in violation of them.

We may restrict access from a jurisdiction, or to a person, where that is needed to comply with applicable law.

17. Intellectual property

We and our licensors own all rights, title, and interest in the Services, including the Terius name, logos, and all software and content (excluding open-source components under their own licenses and third-party content). No rights are granted except as expressly stated.

18. Modifications; suspension; termination

We may change, suspend, or stop the Services, or any feature, at any time. We may update these Terms by posting a new version with a new “Last updated” date. If you keep using the Services, you accept the new version.

We may end or suspend your access at any time. Because the Wallet is non-custodial, that does not take your keys or your assets away from you. You can still reach them with your seed phrase in compatible software.

Provisions that by their nature should continue (including Sections 2–5, 9–13, 16–17, and 19–20) continue after termination.

19. Governing law and jurisdiction

These Terms are governed by the laws of Georgia (country), without regard to conflict-of-laws rules. Subject to any mandatory consumer protections of your country of residence, the courts of Tbilisi, Georgia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you agree to that venue.

20. Miscellaneous

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. These Terms are the entire agreement between you and us regarding the Services. Any claim must be brought within one (1) year after it arises, to the extent permitted by law.
